Terms of Service

1. Agreement to Terms

By accessing or using Nodus ("Service", "Software", "Application"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Nodus is provided by Nodus ("Company", "we", "us", "our"). These Terms apply to all users of the Service, including but not limited to free users, paid subscribers, and team members.

2. Description of Service

Nodus provides a suite of desktop productivity tools including:

  • Password management and secure vault storage
  • Open-source intelligence (OSINT) research tools
  • Desktop automation and utilities
  • Network monitoring tools
  • File management and bulk operations
  • Cloud synchronization services
  • Team collaboration features

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

3. User Accounts and Registration

To access certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any laws, regulations, or third-party rights
  • Engage in unauthorized access to computer systems or networks
  • Conduct illegal surveillance or harassment
  • Distribute malware, viruses, or malicious code
  • Attempt to reverse engineer, decompile, or disassemble the Software
  • Use OSINT tools for stalking, harassment, or illegal activities
  • Circumvent any security features or usage limitations
  • Resell, redistribute, or sublicense the Service
  • Use automated systems to access the Service in violation of our policies

⚠️ OSINT tools are provided for legitimate research, security, journalism, and lawful purposes only. Misuse may result in immediate termination and legal action.

5. Disclaimer of Warranties

IMPORTANT - READ CAREFULLY:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION
  • FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS
  • ACCURACY OF OSINT DATA OR RESEARCH RESULTS
  • SECURITY OF DATA STORAGE OR TRANSMISSION

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NODUS SHALL NOT BE LIABLE FOR:

  • DATA LOSS: Loss, corruption, or unauthorized access to your data, passwords, or stored information
  • SECURITY BREACHES: Hacking, unauthorized access, or security vulnerabilities
  • SOFTWARE ERRORS: Bugs, crashes, malfunctions, or software defects
  • INDIRECT DAMAGES: Loss of profits, business interruption, or consequential damages
  • THIRD-PARTY ACTIONS: Actions of hackers, malicious users, or third parties
  • OSINT ACCURACY: Inaccurate, outdated, or incomplete research results
  • SERVICE OUTAGES: Downtime, unavailability, or service interruptions
  • COMPATIBILITY: Incompatibility with your devices, systems, or software

OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR €100, WHICHEVER IS LESS.

7. Your Responsibility for Data Backup

⚠️ YOU ARE SOLELY RESPONSIBLE FOR BACKING UP YOUR DATA.

While we implement reasonable security measures, we cannot guarantee absolute security. You acknowledge and agree that:

  • You must maintain independent backups of all critical data
  • We are not responsible for data loss from any cause
  • Cloud sync is a convenience feature, not a backup solution
  • You should export and save your passwords regularly
  • We may delete data after account termination

8. Security Disclaimer

While we use industry-standard encryption and security practices, no system is completely secure. You acknowledge:

  • No software or service can guarantee 100% security
  • You use the password manager and vault at your own risk
  • We are not liable for security breaches, regardless of cause
  • You should use additional security measures (2FA, backups, etc.)
  • Encrypted data may become vulnerable to future attacks

9. OSINT Tools Disclaimer

Our OSINT research tools aggregate publicly available information. You acknowledge:

  • Information may be inaccurate, outdated, or incomplete
  • We do not verify the accuracy of third-party data
  • Results are for informational purposes only
  • You are responsible for verifying information independently
  • You must comply with all applicable laws when using OSINT tools
  • Misuse may violate privacy laws, anti-stalking laws, or other regulations

We reserve the right to terminate accounts that misuse OSINT tools.

10. Subscriptions and Payments

Current Pricing: App subscription prices are:
  • Nodus Atlas: €5/month
  • Nodus Vault: €5/month Pro, €2/seat/month Team (min 5 seats, €10/mo minimum) (coming soon)
  • Nodus OSINT: €15/month (coming soon)
  • Nodus City: €1/player slot/month
  • Nodus Core, Nodus Swap, Nodus Send: Free
Billing: Subscriptions are billed monthly in advance. Prices are in Euros (€) unless stated otherwise.
Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date.
Free Trial: First-time subscribers to paid apps receive a 14-day free trial. Each user receives one trial per app. If you previously had a trial for an app (including cancelled trials), resubscribing to that app incurs immediate charges with no trial period.
Refunds: Subscription payments are non-refundable after the 14-day trial period ends. There are no pro-rated refunds for cancelled subscriptions mid-period.
Cancellation: You may cancel anytime. Access continues until the end of your billing period.
Price Changes: We may change prices with 30 days notice. Existing subscribers retain their current price until their next renewal.
Payment Processing: Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.

10a. AI Credits

What are AI Credits: AI credits are consumed when using AI-powered features in Nodus Atlas and Nodus OSINT (e.g. smart file sorting, research analysis, report generation).
Bundled Credits: Active Atlas subscribers receive 200 AI credits per billing cycle. Active OSINT subscribers receive 500 AI credits per billing cycle. Credits are added at the start of each billing period.
Additional Credit Packages: Extra credits can be purchased at any time from your account dashboard, in packages starting at €10.
Credit Carry-Over: All credits — bundled and purchased — carry over indefinitely. They accumulate month to month and never expire.
Shared Pool: Credits are pooled across Atlas and OSINT. Credits consumed by either app draw from the same balance.
No Refunds on Credits: Unused AI credits — whether bundled with a subscription or purchased as a separate package — cannot be returned or exchanged for money, subscription time, or any other form of compensation. By purchasing or earning credits, you acknowledge that unused credits have no monetary value and will not be refunded under any circumstances, including account cancellation or app discontinuation.
Credit Loss on Account Termination: If your account is terminated (by you or by us), any remaining AI credits are forfeited. No compensation is provided for unused credits at termination.

11. Team Subscriptions

Team Owner: The team owner is responsible for all billing and team management.
Seat Management: Team owners can add or remove members. Billing adjusts at next renewal.
Shared Content: Team members may share passwords and data. The team owner is responsible for managing access and ensuring appropriate use.
Liability: Team owners are responsible for all actions taken by team members under their subscription.

12. Activist Discount Program

We offer discounts to eligible activists, journalists, and human rights workers. The program:

  • Requires annual application and verification
  • Is granted at our sole discretion
  • May be revoked if eligibility criteria are not met
  • Cannot be combined with other discounts
  • Does not guarantee acceptance

Misrepresentation of eligibility may result in immediate termination and full-price billing.

13. Intellectual Property Rights

The Service, including all software, code, designs, logos, and content, is owned by Nodus and protected by copyright, trademark, and other intellectual property laws.

License: We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or business use according to your subscription tier.

Restrictions: You may not copy, modify, distribute, reverse engineer, or create derivative works without our written permission.

14. Your Data and Content

Your Content: You retain ownership of all data you store in Nodus (passwords, files, notes, etc.).
License to Us: You grant us a limited license to store, process, and transmit your content solely to provide the Service.
Encryption: Your sensitive data is encrypted. We cannot access your master password or decrypt your vault without it.
Data Deletion: We may delete your data 90 days after account termination or subscription cancellation.

15. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to our privacy practices.

16. Termination

By You: You may cancel your subscription or delete your account at any time.
By Us: We may suspend or terminate your account immediately if you:
  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Abuse or misuse the Service
  • Fail to pay subscription fees
  • Create security risks for other users
Effect of Termination: Upon termination, your access ends immediately. We may delete your data after 90 days. No refunds are provided for partial months.

17. Indemnification

You agree to indemnify and hold harmless Nodus, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Content you store or share through the Service
  • Actions of team members under your team subscription

18. Dispute Resolution and Governing Law

Governing Law: These Terms are governed by the laws of Belgium, without regard to conflict of law principles.
Jurisdiction: Any disputes shall be resolved exclusively in the courts of Belgium.
Informal Resolution: Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at support@nodus.com.

19. Changes to These Terms

We may update these Terms at any time. Changes take effect immediately upon posting. Continued use of the Service after changes constitutes acceptance.

Material changes will be notified via email or in-app notification. If you disagree with changes, you must stop using the Service and cancel your subscription.

20. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Nodus regarding the Service.
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
No Waiver: Failure to enforce any right or provision does not constitute a waiver.
Assignment: You may not assign these Terms without our consent. We may assign these Terms to any successor or affiliate.
Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.

These terms provide important limitations on our liability and your legal rights. If you do not agree with these terms, you must not use Nodus.
